If you have given willingness to upgradation fir second round and if that's not upgraded then you will have your seat reserved In the college allotted in first round but yeah once you participate in second round and you will not upgraded then you will have to take admission in the same allotted college in first round and if you does not want to join the allotted seat you can still exit with forfeiture (losing security amount deposited) within the given time period. If you join the allotted seat in the second round would not be eligible for resigning/surrender of the seat and will not be allowed to participate in state counselling either. So if you want to participate in state counselling then so don't take admission in the allotted college in second round. And also once you get a College alloted you should take admission or you will have to exit with forfeiture fees.

In this case, you can also retain your Round 1 Allotted Seat of All India Counselling. In Upgradation process, Candidates can retain their previous Seat if they didn't get a better Seat in Round 2 Counselling.
If you want to go with State Quota Counselling then you have to take exit from All India Counselling and your Counselling Security Money will not be refunded to you. Because after Round 2 Free Exit is not allowed in All India Counselling. Only Option of Exit with Forfeiture of Security Deposit is available.
